The simplified limited liability company

Together with the low-capital limited liability company, in 2012 another new form of enterprise was added: the simplified limited liability company (ssrl).

This new corporate form is provided for in Article 2463bis of the Italian Civil Code, available at the following link: www.altalex.com/index.php?idnot=37058.

Compared to traditional LLCs, partners must be below the age of 35 at the time of its incorporation.

Just like traditional LLCs, your company must be set up by means of a written deed registered by a notary public. Liability of the partners is still limited to the value of the share capital and the partners of an LLC must always be physical persons, never companies.

Just like low-capital limited liability companies, a significant advantage is that you can pay up 1 euro only as share capital for its incorporation.

At the same time, however, banks may require important sureties before granting a loan. This is due to the fact that the company can be incorporated with a very low initial sharecapital.
